Terms of Service

These Terms of Service govern all services provided by Rogue Raven Marketing (“Consultant”) to the Client (“Client”). By engaging our services, you agree to the following terms, which are designed to protect both parties and uphold the integrity of premium, boundary-driven consulting.

Scope of Services

All services are defined by signed contracts, approved proposals, and paid invoices. Rogue Raven Marketing provides strategic consulting, branded workflow systems, social media management, and operational design. Deliverables, timelines, and platforms are explicitly documented prior to project initiation. Requests outside the agreed scope—including additional platforms, urgent timelines, speculative strategy, or informal brainstorming—require a formal change order and may incur additional fees. This policy aligns with Texas Occupations Code §1304.151, which requires clear documentation of service scope and protects consultants from unauthorized work expansions.

Client Responsibilities

Clients agree to provide accurate, complete, and timely information necessary for service delivery. All communication must occur through designated channels (email, CRM portals, or client dashboard). Clients are expected to respond promptly to requests for feedback, approvals, and materials. All engagements must be documented in writing per Texas Business & Commerce Code §26.01 to ensure enforceability and protect both parties. Rogue Raven Marketing does not honor verbal agreements, casual requests, or off-channel communication.

Staying Aligned: Expectations and Project Boundaries

Getting Started

  • No work will begin until both the agreement is signed and the initial invoice is paid.

  • Clients have 48 hours to sign the agreement once sent. If the agreement is not signed within that timeframe, any payments made will be refunded at 50%.

  • Important: Payment alone does not guarantee a spot or service. Both the signed agreement and payment are required to confirm your project.

  • Healthy Project Practices

  • Complete contracts before requesting strategic insights, creative direction, or branded recommendations.

  • Access to templates, calendars, or brand systems is provided only through approved agreements or licensing.

  • Feedback should be actionable and specific. Phrases like “just make it pop” or “tweak the vibe” can slow progress and create misaligned expectations.

  • Timely communication is essential. Repeatedly rescheduling meetings, ghosting threads, or last-minute pivots may affect timelines and resource planning.

  • Keep communication within official channels (CRM, email, or scheduled calls) to ensure documentation and project continuity.

Scope and Change Management

  • Projects are based on documented scopes. Additional requests should be submitted via email or CRM and approved in writing.

  • Scope changes include adding tasks outside the original plan, requesting extra revisions beyond the agreed limit, or introducing new goals mid-project.

  • Work may be paused until scope adjustments are formally approved and invoiced.

Our Commitment

  • We document all project changes and important communications to maintain clarity.

  • Continued deviations from these practices may require renegotiation, additional fees, or, in rare cases, termination of services.

By following these guidelines, we ensure your project stays on track, meets expectations, and delivers the best results—without unnecessary stress or miscommunication.

Communication Protocols

All communication must occur through approved channels. Off-platform communication—including texting, social media DMs, or casual outreach—is not monitored and will not be considered part of the official project record. Urgent requests must be submitted via CRM with appropriate priority flags.

 

Consultant does not guarantee response times for off-channel messages and will not respond to undocumented requests.

Intellectual Property and Proprietary Systems

All proprietary systems, templates, workflows, and strategic recommendations developed by Rogue Raven Marketing remain the intellectual property of the Consultant unless otherwise agreed in writing. Unauthorized use, duplication, or distribution is strictly prohibited. Any misuse may be pursued under applicable trade secret, copyright, or contract law, including federal protections and Texas business statutes.

Independent Contractor Status

Rogue Raven Marketing and all affiliated consultants, subcontractors, and service providers operate exclusively as independent contractors. No employment relationship is created by any engagement, contract, or service agreement. The Consultant retains full autonomy over work methods, tools, scheduling, and business operations, and is not subject to the Client’s direction or control beyond the scope and deliverables outlined in the signed agreement.

This classification is supported by the Texas Workforce Commission’s “direction and control” test, which defines employment as a relationship where the service recipient has the right to control both the final results and the details of how, when, and where the work is performed. Rogue Raven Marketing does not fall under this definition and therefore is not subject to employment-related obligations such as payroll taxes, benefits, or labor protections.

This status is further reinforced by Texas Unemployment Compensation Act (TUCA) §201.041, which excludes independent contractors from employee classification when the individual’s performance is demonstrably free from control or direction under the contract.

Clients acknowledge that:

  • Rogue Raven Marketing is a separate business entity operating under its own brand, systems, and financial risk

  • All services are delivered independently and are not integrated into the Client’s internal operations

  • Consultant may work with multiple clients concurrently and is not exclusive to any one engagement

  • Consultant is responsible for its own business expenses, tools, insurance, and tax obligations

 

Any attempt to treat Rogue Raven Marketing or its team as employees—including requests for integrated scheduling, internal training, or direct supervision—will be considered a breach of contract and may result in immediate termination of services.

Payment Terms

Invoices are due upon receipt unless otherwise stated. Late payments may result in paused work, late fees, or termination. All services must be paid in full before final deliverables are released.

Payment confirms acceptance of scope, timeline, and deliverables as outlined in the proposal.

Confidentiality and Data Protection

Both parties agree to maintain confidentiality of sensitive business information. Consultant will not share client data, strategy, or proprietary content with third parties without written consent. All client materials are stored securely and used only for the purpose of fulfilling contracted services.

Termination

Consultant reserves the right to terminate services for repeated boundary violations, non-payment, disrespectful or abusive behavior, or attempts to bypass documented systems or extract unpaid services. Client may terminate with written notice; however, no refunds will be issued for completed work, reserved time, or partially delivered services.

Legal Compliance

This agreement is governed by the laws of the State of Texas. Any disputes will be resolved through mediation prior to legal action. Consultant reserves the right to update these Terms of Service at any time, with notice provided via email or CRM.
